1. Introduction
These Terms govern your access to and use of the software platform, dashboards, APIs, and related services (collectively, the “Services”) provided by Zerionix (“Zerionix”, “Company”, “we”, “us”, or “our”), available at https://www.zerionix.net.
Zerionix operates as a Software-as-a-Service (SaaS) platform that helps businesses manage operational workflows, technical integrations, reporting, and system oversight. Zerionix does not provide payment processing services. All payment-related services are provided by third-party payment providers (which may include Stripe, PayPal, or other licensed processors) (“Payment Providers”).
By creating an account or using the Services, you agree to be bound by these Terms.
2. Relationship With Payment Providers
2.1 Payment Processing
Zerionix relies on third-party Payment Providers to process payments, manage settlements, and handle fund custody where applicable. The specific Payment Provider used may vary depending on your region, account configuration, or service selection.
All payment transactions, settlement, and payouts are handled by the applicable Payment Provider in accordance with their agreements.
2.2 Payment Provider Terms Incorporated
If you use any payment-related features, you also agree to the relevant Payment Provider’s terms, including:

If there is any conflict, the Payment Provider’s terms control with respect to payment services.
3. Eligibility and Account Registration
By using the Services, you confirm that you:

Have the legal capacity to enter into binding agreements

Provide accurate, complete, and up-to-date information

Will comply with all applicable laws, including AML, KYC, sanctions, and consumer protection requirements
We may suspend or terminate your access if required by a Payment Provider or applicable law.
4. SaaS Platform Services
The Services may include:

Zerionix may update, modify, or discontinue features at any time.
5. Pricing and Fees
5.1 Subscription Fees (SaaS)
Access to the Services requires payment of a recurring subscription fee, billed monthly in advance.
Pricing may vary based on usage, enabled features, transaction volume, or negotiated enterprise terms. All applicable fees will be disclosed before activation and visible in your dashboard.
Subscription fees are non-refundable, except where required by law or explicitly stated in a written agreement.
5.2 Platform Transaction Fees
Zerionix may charge platform fees related to transactions processed through the Services, including per-transaction or percentage-based fees, as displayed in your account.
5.3 Payment Provider Fees (Third-Party)
Payment Providers charge separate fees for payment processing and related services. These fees are determined solely by the Payment Provider and are in addition to Zerionix’s fees.
5.4 Fee Authorization
You authorize Zerionix and the applicable Payment Provider to deduct applicable fees from invoices, transaction proceeds, balances, or payouts as permitted under the Payment Provider’s agreements.
6. Funds Flow and Payouts
6.1 Funds Handling
All funds are held, safeguarded, and settled by the applicable Payment Provider.
Zerionix does not hold, safeguard, or transmit funds.
6.2 Payout Timing
Payout timing and availability are determined by the Payment Provider and may be delayed due to:

Risk or compliance reviews

Disputes or chargebacks
-
Regulatory or banking requirements
Zerionix does not guarantee payout timing.
7. Chargebacks, Refunds, and Disputes
You are solely responsible for:

Chargebacks, reversals, refunds, and disputes

Communicating with your customers regarding transactions

Responding to Payment Provider dispute requests
The Payment Provider may debit your account balance for disputed or reversed transactions in accordance with its terms.
8. Compliance and Prohibited Use
You may not use the Services for:

Illegal, deceptive, or fraudulent activity

Businesses prohibited under applicable Payment Provider policies

Circumventing fees, controls, or compliance measures
We may monitor activity and share relevant information with Payment Providers as required.
9. Suspension and Termination
We may suspend or terminate your access immediately if:

Required by a Payment Provider

Required by law
-
We determine there is unacceptable risk or a policy violation
Any outstanding fees or obligations survive termination.
10. Disclaimers
The Services are provided on an “as is” and “as available” basis. Zerionix does not guarantee uninterrupted service, payment authorization, or settlement outcomes.
11. Limitation of Liability
To the maximum extent permitted by law, Zerionix is not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the fees paid to Zerionix in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold Zerionix harmless from any claims arising from your use of the Services, violation of these Terms, or violation of applicable Payment Provider terms or law.
12A. Arbitration Agreement and Waiver of Class Actions
12A.1 Mandatory Arbitration
Except as stated below, any dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and shall take place in Wyoming or Florida, at Zerionix’s election.
12A.2 Exceptions
Either party may seek injunctive or equitable relief in court for claims related to:

Intellectual property infringement or misuse

Unauthorized access or security breaches

Enforcement of confidentiality obligations
12A.3 Individual Basis / Class Action Waiver
Arbitration will occur on an individual basis only. You waive any right to participate in a class, consolidated, or representative action.
12A.4 Arbitration Authority
The arbitrator has exclusive authority to determine the interpretation, applicability, and enforceability of this arbitration agreement.
12A.5 Fees and Costs
Each party bears its own legal fees unless otherwise required by law or determined by the arbitrator.
12A.6 Governing Law (Arbitration)
This arbitration agreement is governed by the Federal Arbitration Act (FAA).
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming and the State of Florida, without regard to conflict-of-law principles.
Any legal action not subject to arbitration must be brought exclusively in the state or federal courts located in Wyoming or Florida.
14. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on https://www.zerionix.net. Continued use of the Services constitutes acceptance of the revised Terms.

Appendix A – Refunds and Cancellation (SaaS)

Appendix B – Privacy and Data Protection
Zerionix processes personal data solely to provide the Services. Payment-related personal data is processed by the applicable Payment Provider in accordance with their privacy policies.
